United Motorcyclists of Vermont

BY LAWS FOR UNITED MOTORCYCLISTS OF VERMONT

Articles 1: Name

This organization shall be known as U.M.V., an acronym for United Motorcyclists of Vermont.

This organization shall not discriminate against any race, religion, creed, national, or any other basis, and will not violate laws emulating public policy.

Article 2: Purpose

The main purpose of this organization shall be to:

1) Promote motorcycle safety through education.

2) Promote and lobby for pro-motorcycle legislation.

3) Protect individual rights and freedoms of motorcyclist.

4) Contribute monies raised to organized national and local charities.

5) Promote and support national and local motorcyclist rights organizations.

Article 3: Organization

Section 1: Board of Directors

The Board of Directors shall be made up of up to five persons elected by the membership.

A) The initial terms shall be staggered so that no two Directors are up for election  at anyone time.

B) Terms following the initial election shall be three-year terms.

Section 2: Duties of Board of Directors

The duties of the Board of Directors shall include:

A) To investigate any written complaint against an officer or member.

B) To make final decisions concerning conduct problems by a Quorum.

C) A majority of the Board of Directors shall constitute a Quorum for the  transaction of business at any meeting of the board.

D) The act of a majority of the Directors present at a meeting at which a Quorum  is present shall be the act of the Board of Directors, unless law or these bylaws  require the act of a greater number.

E) The Board of Directors shall not be liable for the acts of the Corporation;  Liability of the Corporation shall be limited to the extent of the assets of the  Corporation.

F) The Board of Directors shall meet a minimum of two times a year or whenever  is necessary.

G) If a Director/Officer cannot fulfill their term, the remaining board shall appoint a  Director/Officer to fulfill that term.

H) Any Director withdrawing from office, for any reason, cannot resume any office  until re-election at the next regular election. .

I) To create new offices for the organization as needed.

Section 3: Officers

The Board of Officers shall be Comprised of the President, Vice President, Treasurer, Secretary and Sergeant of Arms.

A) All officers shall be members in good standing.

B) The Treasurer shall not be from the same household as any other officer.

C) The affairs of the Corporation are to be managed by the officers of the  Corporation who shall be elected to a minimum of a one year term by the  members of the Corporation.

D) An officer shall not be liable for the acts of the Corporation; Liability of the  Corporation shall be limited to the extent of the assets of the Corporation.

E) An officer withdrawing from office, for any reason, cannot resume any office  until re-election at the next regular election.

F) The treasurer shall be bonded at the organizations expense.

Section 4: Duties of the President

The duties of the President shall include:

A) To preside at all meetings.

B) To have general supervision of the affairs of U.M.V.

C) To act as spokesperson for the Corporation before all businesses,  government, and individual organizations and agencies.

D) Ex-officio member of every Committee.

E) Prepare an agenda for each meeting.

F) The President will attend the Board of Directors meetings.

Section 5: Duties of the Vice President

The duties of the Vice President shall include:

A) To act as assistant to the President and to perform the duties thereof in the  event the President shall be incapable of performing or any other duties as  directed by the President of the Board of Directors.

B) Shall oversee management of all committees.

Section 6: Duties of the Secretary

The duties of the Secretary shall include:

A) To review the Corporations records and memberships.

B) To act as recording secretary at all meetings.

C) To perform all duties that pertains to this office.

Section 7: Treasurer

The duties of the Treasurer shall include:

A) To receive, record and account for all Corporation funds in accordance with  legal and Corporation policies.

B) To disperse corporate funds in accordance with the policies established by the  Corporation and to maintain record of the same.

C) Withdrawals from the Corporations funds shall require two signatures when  and if exceeds $500.00.

D) Shall prepared financial reports for the membership on a monthly basis.

E) President, Vice President and Treasurer shall be authorized to sign checks.

F) No two persons from the same household shall sign checks.

G) The recipient of the check shall not be one of the counter signers.

H) The Treasurer will attend the Board of Directors meetings.

Section 8: Sergeant of Arms

The duties of the Sergeant of Arms shall include:

A) Maintain order at all times.

B) Coordinate and control security arrangements for any and all events.

C) Performs additional duties as directed by the President of the Board of  Officers.

Article 4: Membership of the Organization

1) Active members shall be anyone listed on the current membership list.

2) Dues will be payable on September 1st of each year.

3) The Board of Directors will determine membership fees.

4) An officer or Member may be reviewed for suspension or termination for  conduct unbecoming of a member of the United Motorcyclist of Vermont, 1st, by  verbal warning, 2nd by written warning to the Board of Directors and 3rd final  decision by the Board of Directors.

Article 5: Election of Officers

1) Candidate for office must be a member on good standing.

2) Each officer will be elected by a majority vote of the membership.
3) Office terms shall be for a year or until the next scheduled election.

4) Election will be warned 60 days in advance.

5) Absentee ballots must be received no later than the day prior to the election.

Article 6: Amendments of By Laws

The By Laws shall be amended only by majority vote at a meeting after the third reading.

The Third reading is considered to:

1) A motion brought to the members at a meeting.

2) Publication in the organizations newsletter.

3) Final discussion and vote at following monthly meeting.

Article 7: Miscellaneous Provisions

1) The Fiscal Year for the Corporation shall be January 1st to December 31st.

2) In the event that this Corporation dissolves all assets will be donated to the  Motorcycle Rider’s Foundation or a National Motorcycle Rights Organization.

3) All meetings shall use Robert’s Rule of Order as a guideline.

4) The authority to enforce these by laws and for any item not covered herein shall be vested solely in the Board of Directors.

5) Whenever a director or officer has a financial or personal interest in any matter coming before the board of directors, the affected person shall
a) fully disclose the nature of the interest and
b) withdraw from discussion, lobbying, and voting on the matter.

Any transaction or vote involving a potential conflict of interest shall be approved  only when a majority of disinterested directors determine that it is in the best  interest of the corporation to do so. The minutes of meetings at which such votes  are taken shall record such disclosure, abstention and rationale for approval.
